AI Product Start course terms
How enrolment, payment, withdrawal, course delivery and completion work for the AI Product Start course run by NextWoo. Version of 2 September 2026. This is a translation; the Polish version prevails.
1. General provisions and provider
These terms set out how NextWoo provides a training service — the AI Product Start course. It is training outside the education system — not school education or a qualifying vocational course within the meaning of the Polish Education Law. The services are provided by NextWoo at Fundacja Rozwoju Przedsiębiorczości „Twój StartUp”. The provider and party to the Agreement is Fundacja Rozwoju Przedsiębiorczości „Twój StartUp”, registered at ul. Żurawia 6/12, lok. 766, 00-503 Warszawa, Polska, entered in the National Court Register under KRS 0000442857, NIP 5213641211, EU VAT PL5213641211, REGON 146433467 (the “Foundation”, “we”). The educational activities of the NextWoo academy are carried out within the Foundation. These terms are made available free of charge on this website before the agreement is concluded and form part of it. Contact details are in section 18.
2. Definitions
In these terms:
- Participant — a natural person who takes part in the Course. A person without full legal capacity may conclude the Agreement with the consent of their legal representative.
- Client — the party to the Agreement that orders and pays for the Course: a Participant ordering the Course for themselves, or a company or other organisation ordering the Course for a named Participant (such as an employee or contractor).
- Consumer — a Participant who is a consumer within the meaning of Article 22¹ of the Polish Civil Code. Provisions on Consumers also apply to a natural person running a sole proprietorship where the Agreement is not of a professional nature for them (Article 7aa of the Polish Consumer Rights Act).
- Course — the AI Product Start course described in section 3.
- Agreement — the distance agreement for participation in the Course and creation of the Work between the Foundation and the Client, naming the Participant.
- If the Client is a company, the rights and obligations concerning conclusion of the Agreement, payment, invoices, cancellation, settlement and the Work — including the transfer of author’s economic rights — belong to the Client; the Participant uses the sessions, materials and certificate. Provisions on Consumers, including the right of withdrawal (section 8), apply where the Client is a Consumer.
- Durable medium — a medium that allows information to be stored and reproduced unchanged, such as an email or a PDF file.
- Work — the Product’s code and project created together during the Course, with the results handed over at the end: the Product’s source code written jointly by the Participant and the instructors, technical and architecture documentation, personalised materials (an individual learning plan, materials, recordings and notes prepared for the Participant, code and product review reports) and the project knowledge base.
3. Course program
The Course has a defined program, learning outcomes (practical skills checked at the final review), number of hours, format and dates — set out in the training offer on the Course page and in the Agreement. We teach the Course online, in Polish or English — you choose at enrolment, and the choice is recorded in the Agreement. It consists of individual 1:1 sessions with an instructor, pair coding on the Participant’s prototype with an instructor (we write code together for the Participant’s problem and explain every decision), mentoring and reviews (code, product, decisions) and independent work with video lessons, materials, practical assignments and the Participant’s own project. An hour of 1:1 sessions, pair coding and mentoring lasts 60 minutes (for mentoring, this includes the instructor’s work on the review). The Course requires about 15 hours of work a week (about 3 hours on working days). New editions of the Course start on the second Monday of every month. The detailed program, prerequisites and completion criteria are described on the Course page. Scope of the Course:
- AI Product Start — 8 weeks: 24 h of individual 1:1 sessions, 16 h of pair coding on the Participant’s prototype, 16 h of mentoring and reviews, and about 64 h of independent work (about 120 h in total). Price: PLN 8,250 gross (PLN 6,707 net + 23% VAT).
4. Price
The price shown on the website and in the Agreement is the gross price for the entire Course — it includes 23% VAT where the service is taxed in Poland. Polish VAT is not charged when, under the place-of-supply rules, the service is taxed outside Poland — in particular when the buyer is a company established outside Poland (reverse charge); the amount payable is then the same. What matters is the status of the buyer of the service, which we check before the Agreement is concluded, not who makes the transfer. The VAT rate applied or the basis for not charging VAT, the amount and the currency are stated in the offer and the Agreement. Prices are given in Polish zloty (PLN); the currency and amount payable are stated in the Agreement.
- The price set in a concluded Agreement does not change during the Course. Price changes on the website do not affect Agreements already concluded.
- Training for teams is not covered by this price — we prepare a separate offer for it.
5. Enrolment and conclusion of the Agreement
Enrolment follows these steps:
- Application — through the form on the website or by email to info@nextwoocommerce.com. An application is not the conclusion of the Agreement or a reservation of a place, and creates no obligation to pay.
- Call — we arrange a short online call to learn about your goal, experience and product idea. If the Course is not right for you, we will tell you before the Agreement is concluded.
- Offer — we send you, on a Durable medium, the training offer and the text of the Agreement. The offer states the Course name and a link to its page, the program and learning outcomes, the format (online), teaching language, number of hours, exact start and end dates, gross price, payment date, completion conditions and the certificate issued, and the Foundation’s details as provider. We attach these terms, the information required by the Consumer Rights Act and the model withdrawal form.
- Conclusion of the Agreement — the Agreement is concluded when you confirm your acceptance in the way described in the offer (for example by replying by email, signing electronically, or sending a scan or photo of the signed document — any of these is enough). You will receive confirmation of the Agreement on a Durable medium.
- Confirmation of your place — your place in the chosen edition of the Course is confirmed once the price is credited by the date stated in the Agreement.
- To take part in the Course you need a computer with internet access that lets you join online sessions, and accounts in the tools named at the start of the Course.
6. Payment
You pay the Course price in one payment. Payments are made by bank transfer to the account stated in the Agreement, by the date it sets out. A payment is made on the day it is credited to the Foundation’s account.
- The whole price is due before the Course starts, by the date stated in the Agreement — no later than 3 working days before the start. You may pay earlier and reserve a place in one of the next Course editions; until the start date you are entitled to a full refund (sections 8 and 9).
- We issue an invoice for every payment — to a private person or to a company. You provide the invoice details (such as the company name and tax number) before the Agreement is concluded. We issue invoices in the Polish National e-Invoicing System (KSeF); private persons and companies outside Poland also receive them by email.
- An employer or other organisation may order the Course for its employee or contractor — it is then the Client: it concludes the Agreement, receives the invoice and acquires the rights to the Work.
- An organisation may also only pay for the Course without ordering it — for example a grant-maker, fund or co-financing institution. The Participant then remains the Client: they conclude the Agreement and acquire the rights to the Work, and the payer and settlement method are stated in the Agreement.
- If you are applying for co-financing (for example from your employer or a support program), tell us in your application. We will send the training offer you need for the application, and we will set the payment date and Course start after the funding decision — you do not have to pay upfront while waiting for a refund.
- We do not accept payments through the website — it has no shopping cart or payment gateway.
7. Course delivery, scheduling and absences
The Course starts on the second Monday of the month stated in the Agreement and lasts 8 weeks. We agree the times of individual sessions, pair coding and mentoring with you at the start of the Course and as it goes, taking your time zone into account.
- You can reschedule a session by notifying your instructor with the notice stated in the Agreement, or — if the Agreement sets none — at least 24 hours before the session. Rescheduled sessions take place at a new agreed time and are not lost.
- A session you miss without notice is treated as delivered. In sudden emergencies (such as illness) we proceed as if the session had been rescheduled in time.
- If an instructor cannot run a session, we tell you as early as possible and agree a new time — the session is not lost. We may provide a substitute instructor with comparable skills.
- For important reasons (such as illness or family circumstances) you can ask to suspend the Course or move to a later edition. We agree the conditions, including the resumption date, individually and confirm them by email; a transfer is in principle free of charge.
- Between sessions you have access to the chat with your instructors and to all Course materials — recordings, documentation and examples. We answer chat questions within 1 working day.
- If a session cannot take place because of technical problems on our side, we will run it at another time, with no loss of the time you are entitled to under the Course.
8. Right of withdrawal (14 days)
A Consumer who has concluded the Agreement at a distance may withdraw from it without giving any reason within 14 days of the day it was concluded. It is enough to send the withdrawal statement before the deadline.
- To withdraw from the Agreement, send a clear statement by email to info@nextwoocommerce.com or by post to the Foundation’s address. You can use the model withdrawal form you receive with the Agreement, which is also available at nextwoocommerce.com/documents/model-withdrawal-form.pdf (a Polish version is at nextwoocommerce.com/documents/wzor-formularza-odstapienia.pdf), but you do not have to. We will promptly confirm receipt of your statement.
- We refund all payments received without undue delay and no later than 14 days from the day we receive the statement, using the same payment method you used, unless you expressly agree to another method that involves no costs for you.
- If the Course start date falls within 14 days of concluding the Agreement, we start the Course only at your express request made on a Durable medium (for example in the email accepting the Agreement). Without such a request we will offer you the nearest start date after the withdrawal period ends.
- If you asked us to start the Course before the withdrawal period ended and then withdraw from the Agreement, you pay an amount proportionate to the services provided up to the moment you told us about the withdrawal (Article 35 of the Consumer Rights Act). As a rule we calculate it in proportion to the number of program days that have passed by the day we receive the statement, relative to all program days (program weeks × 7 days; agreed breaks are not counted) — for example, after 10 days of a Course with 56 program days: 10/56 of the price. If we actually delivered less (for example scheduled sessions did not take place), the amount is reduced accordingly. We refund the rest of your payments.
- You bear no costs of withdrawal if you did not ask for the Course to start early or did not receive the required information about the right of withdrawal from us.
- The right of withdrawal does not apply if the service has been fully performed with your express consent and you were informed before performance began that you would lose the right of withdrawal once it was performed, and you acknowledged this. With a Course lasting 8 weeks, this does not happen in practice within 14 days.
9. Cancellation, refunds and termination
Independently of the right of withdrawal (section 8), you can cancel the Course by sending a statement by email or post. Whether and how much we refund depends on when you cancel and on whether we have delivered on the Agreement.
- Before the Course starts: we refund all payments within 14 days of receiving the statement. Instead of a refund you can choose to move to a later edition of the Course.
- Within the first 14 days of the Course: if the Course is not right for you, you can cancel without giving a reason. We refund the price minus the part proportionate to the Course weeks started by the day we receive the statement — within 14 days.
- More than 14 days after the Course starts: you can cancel at any time. We are owed the part of the price for the program weeks started by the day we receive the statement (agreed breaks are not counted) plus a cancellation fee of 10% of the price of the undelivered part of the Course. The fee covers the instructors’ and mentors’ time reserved for you, which we can no longer schedule for other Participants. We refund the remaining amount within 14 days (for example, cancelling after 3 of 8 weeks: we are owed 3/8 of the price plus 10% of the remaining 5/8 of the price).
- We do not charge the cancellation fee if you cancel for an important reason that prevents further participation — such as illness or another documented emergency — or if the cancellation results from our breach of the Agreement. In that case we refund the full price of the undelivered part of the Course. Instead of a refund you can also choose to continue in a later edition of the Course.
- If we do not provide the quality set out in the Agreement and these terms — for example sessions or mentoring do not take place in the agreed amount, or you do not receive feedback on assignments — file a complaint (section 15). If we do not fix the problem within the time stated in our reply to the complaint, you can cancel and we will refund the part of the price for the undelivered part of the Course.
- If we cannot start or continue the Course, we will offer another date or another instructor. If you do not accept the offer, we will refund within 14 days all payments for the undelivered part of the Course. If we stop a Course that has started without a valid reason, we will additionally pay you an amount equal to 10% of the price of the undelivered part of the Course — the same as you would pay when cancelling. This does not limit any other claims you have under the law.
- We may terminate the Agreement with immediate effect only for important reasons: non-payment of the price despite an email reminder and an additional deadline of at least 7 days, presenting someone else’s work as your own in assessed assignments, sharing Course materials contrary to section 13, or conduct that violates the dignity of instructors or other people. We will first ask you by email to stop the breach, unless its nature makes further cooperation impossible. We are then owed the part of the price for the Course weeks started by the termination date; any overpayment is refunded within 14 days.
- The provisions of this section do not limit the right of withdrawal (section 8): while it applies, we settle according to the rules more favourable to you.
10. What the price includes
The Course price includes:
- individual online 1:1 sessions, pair coding on your prototype, and mentoring and reviews in the amount set out in section 3,
- video lessons, materials, documentation and examples,
- practical assignments with feedback against published criteria,
- chat with instructors for the whole duration of the Course,
- the final review and — once the criteria are met — a certificate of completion of the Course,
- access to the Course materials after it ends — with no time limit, for your own learning.
11. What the price does not include
The Course price does not include costs you cover yourself:
- a computer, software and internet access,
- subscriptions to AI tools, API usage fees, hosting, domains and other external services used in your project — we estimate them at about USD 20–50 a month; this is an estimate, not an offer from the providers,
- training for teams and additional consultations beyond the scope of the Course, unless agreed separately.
12. Course completion and certificate
The Course ends with a final review. You receive a certificate of completion once you meet the completion criteria published on the Course page and shared at its start.
- Week 8: you present a working prototype, explain what the user conversations and tests taught you, show an estimate of running costs and justify your decisions.
- The certificate of completion of the Course states the Course name, number of hours, dates, learning outcomes (assessed competencies), project title and the Foundation’s details as issuer. It is not a state diploma or a qualification awarded in the school or higher education system.
- If you do not meet the criteria, you will receive written feedback with the reasons. You are entitled to one free retake of the final review within 30 days; further dates are agreed individually.
- You can challenge the assessment through the complaints procedure (section 15).
- We issue the certificate within 14 days of you meeting the completion criteria, once the Course price has been paid. The completion criteria in force on the day the Agreement is concluded do not change during your Course.
13. Intellectual property and confidentiality
Your project belongs to you.
- The code, repositories, product, idea, documentation and other results of your work remain your property. Taking part in the Course does not transfer any rights in them to the Foundation or give us a licence to use them commercially.
- For the duration of the Course you give the instructors access to the project repository and materials solely for reviews, feedback, assessment and joint work on the code.
- We write the Product’s code together: you write part of it, the instructors write part. At the end of the Course the Foundation hands over the Work (section 2) — the jointly created code and project — and transfers to you the author’s economic rights in it to the extent held by the Foundation (the instructors’ contribution), so that all rights in the Work belong to you. Remuneration for the Work and the transfer of rights is included in the Course price. The scope of the Work and its acceptance criteria are set out in the annex to the Agreement “Scope of the Work”. The Foundation is responsible for delivering the Work within that scope, not for the market success of the product.
- Until the rights are transferred, you may use the Work in the fields of exploitation listed below — including launching the product publicly and using it commercially — under a non-exclusive licence included in the Course price.
- If the Client is a company, we hand over the Work and transfer the author’s economic rights to the Client, and the licence until the transfer belongs to the Client and the Participant. Rights to code written by the Participant alone are governed by the agreement between the Participant and the Client.
- The rights are transferred when the Work acceptance report is signed, once the price due for the Course has been paid — in full or as settled on early termination of the Agreement — without territorial or time limits, in the following fields of exploitation: recording and reproduction by any technique, including digital; permanent or temporary reproduction of a computer program in whole or in part; translation, adaptation, rearrangement and any other changes; placing on the market, lending and rental of the original or copies; distribution, including making available to the public in such a way that anyone can access the Work at a place and time of their choosing; entering into computer memory and networks; commercial use, including as part of your own product and SaaS services. The transfer also covers the right to authorise the exercise of derivative rights and ownership of the media on which the Work is handed over. The Foundation ensures that the authors will not exercise their moral rights against you in a way that restricts the use of the Work.
- The Work acceptance report must be in written form — signed by hand or with a qualified electronic signature (Article 53 of the Polish Act on Copyright and Related Rights). If the Agreement ends early, we hand over the Work to the extent completed by that day, after the price is settled under section 8 or 9, and transfer the rights to that part on the basis of a report in the same form.
- Presenting your project, name, image or opinion (for example in the academy’s materials) requires your separate, voluntary consent, which you can withdraw at any time.
- The Course materials — recordings, presentations, texts, assignments, assessment rubrics, templates, examples, the program and its structure — are works protected by the Act on Copyright and Related Rights and belong to the Foundation or their authors. Non-public materials and know-how shared in sessions and in the chat are confidential information.
- General Course materials, shared by all Participants, are not part of the Work. We grant you a non-exclusive, non-transferable licence to use them solely for your own learning — with no time limit. The licence does not cover other purposes.
- If we shut down the platform with the materials, we will tell you by email at least 30 days in advance and make the materials available for download, so that access with no time limit is preserved.
- Access to the Course is personal. Without our written consent you may not: share materials or access (account, login, links, chat, recordings) with third parties; share copies of the materials with other people or bulk-download or automatically extract the materials (you may keep files offered for download and take notes for your own use); publish, sell or distribute them in whole or in part; use them to run your own training or courses or to create competing educational products; or feed them into AI tools to reproduce them or train models.
- If these rules are breached, we may block access to the materials and terminate the Agreement (section 9), and pursue the claims available to us under the law, including copyright law.
- You are free to apply the knowledge and skills gained in the Course at work and in your own projects. You may use code fragments from the examples in your own projects, including commercial ones, unless stated otherwise for a given material.
- Sessions may be recorded only with the consent of both parties.
- External tools and open-source libraries used in the project are subject to their own licences and terms.
- We treat information about your project as confidential and do not disclose it to third parties without your consent, unless the law requires it. Do not give us your users’ personal data or trade secrets unless it is necessary.
14. Liability
We are liable for the proper performance of the Agreement in accordance with the law.
- The Course is an educational service. We do not guarantee employment, income, funding or the market success of the product — the result depends largely on your work.
- Information shared during the Course is not individual legal, tax or investment advice.
- We are not liable for the operation of external services you use in the project (such as AI and hosting providers) or for how your product is used after the Course, including its compliance with the law.
- Towards Clients who are not Consumers, the Foundation’s liability is limited to the price paid for the Course and does not cover lost profits; the limitation does not apply to damage caused intentionally.
- These terms do not exclude or limit Consumers’ rights under mandatory provisions of law.
15. Complaints
If the Course is not delivered in line with the Agreement or these terms, you can file a complaint by email to info@nextwoocommerce.com or by post to the Foundation’s address. There is no deadline for filing a complaint.
- Describe the problem, the date or period it concerns and the solution you expect, and give your contact details — this makes the complaint easier to handle.
- We reply within 14 days of receiving the complaint, on paper or another Durable medium (such as email). If a Consumer receives no reply within that time, the complaint is deemed accepted.
- Depending on the situation we offer, for example, additional sessions, a repeat review or assessment, a price reduction or a partial refund.
- A Consumer can use out-of-court dispute resolution, including help from a municipal or district consumer ombudsman, mediation or a permanent consumer arbitration court at the regional Trade Inspection office. Information about these options is available at prawakonsumenta.uokik.gov.pl. Using them is voluntary for both parties.
16. Changes to these terms
We may change these terms for valid reasons, such as changes in the law, a decision of a competent authority, changes to the scope or organisation of the Courses, new services or security considerations.
- We publish changes on this page at least 14 days before they take effect, and notify Clients with whom we have concluded an Agreement, and Participants, by email.
- Changes do not affect the price or scope of the Course set in Agreements already concluded.
- If a change concerns the Course you are taking and you do not accept it, you can terminate the Agreement before the change takes effect — we settle only the part of the price for the Course weeks started by the termination date — with no cancellation fee (section 9) and no other costs.
17. Governing law and disputes
The Agreement and these terms are governed by Polish law, in particular the Civil Code and the Consumer Rights Act.
- The choice of Polish law does not deprive a Consumer whose habitual residence is in another country of the protection granted by the mandatory provisions of that country’s law.
- Disputes are resolved by the court with jurisdiction under the general rules. In disputes with Clients who are not Consumers, the court for the Foundation’s registered office has jurisdiction.
- These terms are available in Polish and English. In case of discrepancy, the Polish version prevails, without prejudice to Consumers’ rights under mandatory provisions of law.
- How we process personal data is described in the Privacy policy at nextwoocommerce.com/privacy/.
- This version of the terms applies from 2 September 2026.
